1. Introduction and Acceptance

Welcome to HappenGrid. By accessing or using our website, platform, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

HappenGrid is a community event platform designed to help organizers create, manage, and promote events, and to help attendees discover and purchase tickets to those events.

2. Account Registration

To use certain features of the Platform, you must register for an account. By registering, you agree to:

  • Be at least 18 years of age, or have the consent of a parent or legal guardian.
  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activities that occur under your account.
  • Promptly notify us of any unauthorized use of your account.

3. Event Organizers

If you use HappenGrid to organize and host events, you acknowledge and agree that:

  • You are solely responsible for ensuring that your events are safe, lawful, and accurately described.
  • You must honor all ticket purchases, clearly communicate any cancellation policies, and issue refunds when applicable.
  • You are responsible for obtaining all necessary licenses, permits, and insurance required for your events.
  • HappenGrid acts solely as a platform to facilitate event discovery and ticketing and is not an organizer or owner of the events listed.

4. Attendees and Ticketing

If you use HappenGrid to attend events, you acknowledge and agree that:

  • Your ticket purchase constitutes a contract between you and the Event Organizer. HappenGrid is not a party to this agreement.
  • You must adhere to the rules and guidelines set by the Event Organizer at the venue.
  • Unauthorized resale or transfer of tickets may result in the cancellation of your tickets without refund.
  • Refund requests must be directed to the Event Organizer, subject to their specific refund policies.

5. Payments and Fees

HappenGrid processes payments through secure third-party payment gateways. We may charge service or convenience fees for ticket sales. All applicable fees will be displayed to you prior to completing a transaction.

Event Organizers will receive payouts for their events subject to our payout schedule and after the deduction of any applicable platform fees and payment processing costs.

6. Prohibited Conduct

While using HappenGrid, you agree not to:

  • Violate any local, state, national, or international laws or regulations.
  • Post or transmit any content that is fraudulent, misleading, abusive, defamatory, or obscene.
  • Infringe upon the intellectual property rights of HappenGrid or any third party.
  • Attempt to interfere with or compromise the system integrity or security of the Platform.
  • Use automated scripts, spiders, or scrapers to collect data from the Platform without our explicit written permission.

7. Intellectual Property

All materials on the Platform, including text, graphics, logos, and software, are the property of HappenGrid or its licensors and are protected by intellectual property laws. You retain all rights to any content you upload (such as event descriptions and images), but you grant HappenGrid a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the Platform.

8. Limitation of Liability

To the maximum extent permitted by law, HappenGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform or attendance at any event booked through the Platform. Our total liability in any matter related to these terms is limited to the amount you paid us in the 12 months preceding the claim.

9. Account Termination

We may suspend or terminate your access to the Platform at our sole discretion, without prior notice, if we determine that you have violated these Terms of Service. You may also delete your account at any time through your profile settings.

10. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new terms.
